Guardian Capital receives court approval for Desjardins acquisition
Guardian Capital Group Limited (TSX: GCG) (TSX: GCG.A) received final court approval from the Ontario Superior Court of Justice for its plan of arrangement with Desjardins Global Asset Management Inc., an affiliate of Desjardins Group.
Under the arrangement, Desjardins will acquire all issued and outstanding common shares and Class A shares of Guardian for C$68.00 per share in cash, excluding certain shares owned by specified shareholders who entered into equity rollover agreements.
The court approval follows Guardian's special meeting held on October 23, 2025, where shareholders overwhelmingly approved a special resolution supporting the arrangement.
The transaction remains subject to regulatory approvals, including under Canada's Competition Act, and other closing conditions outlined in the arrangement agreement signed on August 28, 2025. Guardian anticipates the arrangement will close in the first half of 2026, pending regulatory approvals and satisfaction of remaining conditions.
