Graf Global to change ticker to TONT

Graf Global Corp. (NYSE American: GRAF) announced it will change its ticker symbol on NYSE American from "GRAF" to "TONT" effective at the opening of trading on July 27, 2026, ahead of its planned business combination with Big3 HoldCo LLC, a professional 3-on-3 basketball league.

The company's units and warrants, currently trading as "GRAF U" and "GRAF WS," will also be renamed to "TONT U" and "TONT WS," respectively, at the same time. The ticker "TONT" is derived from the phrase "3-on-3."

The business combination with BIG3 is expected to close in the fourth quarter of 2026, subject to several conditions. These include the filing and effectiveness of an S-4 registration statement with the Securities and Exchange Commission, shareholder approval, the delivery of no less than $50 million in net cash proceeds to BIG3, and approval of the combined company's application to list on a national securities exchange.

Upon closing, holders of "TONT" shares and "TONT WS" warrants will receive common equity and warrants of the surviving entity, to be named Big3 Basketball Holdings, Inc., on a 1:1 basis. "TONT U" units will be split into one "TONT" share and one-half "TONT WS" warrant.

Graf Global describes itself as a blank check company with approximately $92 million in cash deposits and no other business operations. As of July 16, 2026, the cash value per share available for redemptions was approximately $10.86.

Existing shareholders are not required to take any action in connection with the ticker symbol change. CUSIP numbers for all securities will remain unchanged.

BIG3 was founded in 2017 by O'Shea Jackson, Sr., known as Ice Cube, and Jeffrey Kwatinetz. The business combination agreement was filed with the SEC on June 12, 2026.
