Gatekeeper raises $10 million through bought deal private placement
Gatekeeper Systems Inc. (TSX-V: GSI) (OTC: GKPRF) announced a $10 million bought deal private placement with Canaccord Genuity Corp. and Raymond James Ltd. serving as co-lead underwriters.
The video and data solutions provider will issue 4.8 million common shares at $2.10 per share for gross proceeds of $10.08 million. The offering is structured as a private placement using the listed issuer financing exemption in Canada and registration exemptions in the United States and other jurisdictions.
Gatekeeper will use net proceeds to pursue growth opportunities, fund working capital for recently awarded major contracts, and general corporate purposes. The company will pay the underwriters a 6% cash commission on gross proceeds raised.
The underwriters received an option to purchase up to 1.6 million additional shares at the same price, representing approximately 34% of the base offering. This option is exercisable until 48 hours before closing.
The offering is expected to close around November 13, 2025, subject to regulatory approvals including TSX Venture Exchange approval.
Gatekeeper provides video and data solutions for school buses, public transit and smart cities. The company serves more than 60 transit agencies and 3,500 school districts across North America, with over 65,000 Mobile Data Collectors installed that record data from more than 200,000 onboard devices.
