The securities to be registered hereby are the ordinary shares of Sono Group N.V. (the “Company”). The description of the ordinary shares contained under the heading “Description of Share Capital and Articles of Association” in the Company’s registration statement on Form F-1 initially filed with the Securities and Exchange Commission on June 23, 2022, as amended from time to time (File No. 333-265568) (the “Registration Statement”) is incorporated herein by reference.
