The description of the common shares, no par value, of Liberty Defense Holdings, Ltd., a British Columbia corporation (the “Registrant”), set forth under the headings “Description of Share Capital” and “Certain Canadian Federal Income Tax Considerations” in the prospectus that constitutes a part of the Registration Statement on Form F-1 (File No. 333-293217) initially filed publicly by the Registrant with the Securities and Exchange Commission on February 5, 2026, as subsequently amended from time to time thereafter, including any form of prospectus contained therein filed pursuant to Rule 424(b) under the Securities Act of 1933, as amended, which form of prospectus shall be deemed to be incorporated herein by reference.
