Faraday Future files prospectus for resale of 24.9 million shares

Faraday Future Intelligent Electric Inc. (NASDAQ: FFAI) filed a resale prospectus for up to 24,928,594 shares of Class A common stock to be sold by certain securityholders.

The prospectus covers 24,775,574 shares issuable upon conversion of various unsecured convertible promissory notes from multiple financing rounds. These include notes from private placements conducted in March 2025, December 2024, and September 2024, as well as additional notes issued in June and August 2025 related to a May 2023 securities purchase agreement.

The filing also includes 153,020 shares issued to Bitron, S.P.A. as settlement for amounts owed to the Italian company under an agreement dated August 15, 2025.

The shares covered by the prospectus represent stock that selling securityholders may offer for resale from time to time. The company stated that institutional investors participated in the various private placement financings that generated the convertible notes.

Faraday Future is an electric vehicle manufacturer that has conducted multiple financing rounds over the past year to raise capital for its operations.
