Fidelity National Financial Inc. (NYSE: FNF) announced its board approved a special stock distribution of approximately 16 million shares of F&G Annuities & Life Inc. (NYSE: FG) to FNF shareholders, representing about 12% of F&G's outstanding common stock.
The distribution will occur on December 31, 2025, to shareholders of record as of 4:30 p.m. ET on December 17, 2025. Based on FNF's approximately 271 million shares outstanding as of November 5, 2025, shareholders will receive roughly six F&G shares for every 100 FNF shares held on the record date.
No fractional F&G shares will be distributed. Instead, shareholders will receive cash for any fractional amounts. The distribution is structured as a taxable dividend for U.S. federal income tax purposes.
F&G shares distributed will be in book-entry form, and shareholders holding FNF stock through brokers will have F&G shares credited to their accounts by their nominees. No shareholder action or cash payment is required to receive the distribution.
FNF operates as a title insurance and transaction services provider to real estate and mortgage industries. The company is the largest title insurance company in the United States through its underwriters including Fidelity National Title, Chicago Title, and Commonwealth Land Title.
F&G Annuities & Life provides insurance solutions to retail annuity and life customers and institutional clients from its Des Moines, Iowa headquarters.
