Enviri Corporation (NYSE: NVRI) announced that Chief Financial Officer Tom Vadaketh will retire following the completion of the Clean Earth sale and spin-off of New Enviri, expected mid-2026. The company plans to appoint Pete Minan as CFO of the new standalone entity.
Vadaketh will remain in his role until the transactions are completed. The Clean Earth sale to Veolia Environnement SA remains on track for mid-2026 completion, according to the company statement.
Minan previously served as Enviri's CFO from October 2014 to October 2021 and returned on an interim basis from August 2022 to October 2023. Before joining the company, he spent nearly 30 years as a Senior Partner at KPMG. He holds a B.S. from the University of Virginia and is a Certified Public Accountant.
The spin-off will create New Enviri as a publicly traded company focused on Harsco Environmental and Rail businesses. Russell Hochman, current Enviri President and Chief Operating Officer, will serve as CEO of New Enviri.
"Pete's financial acumen, deep understanding of our businesses, and strategic mindset make him the ideal financial leader for New Enviri," Hochman said in the statement.
Minan will serve as a consultant to help prepare for the spin-off. The company expects to file a Form 10 registration statement with the Securities and Exchange Commission for New Enviri, subject to customary closing conditions.
Additional leadership team members and board directors for New Enviri will be announced later. The Philadelphia-based company operates in more than 150 locations across 30 countries.
