Conavi Medical announces public offering of common shares and warrants
Conavi Medical Corp. (TSXV: CNVI) filed a preliminary prospectus for a public offering of common shares and pre-funded warrants, the company announced.
The Toronto-based medical device company plans to complete the offering through Bloom Burton Securities Inc. as lead agent for a syndicate. The number of securities, offering size and pricing will be determined through negotiations between the company and agents based on market conditions.
Conavi Medical intends to use net proceeds to complete a limited market release in the United States and for working capital and general corporate purposes. The company expects the offering to close on or about May 28, 2026, subject to regulatory approvals including from the TSX Venture Exchange.
The securities will also be offered through private placement in certain jurisdictions outside Canada in compliance with applicable securities laws. The offering excludes the United States, where the securities have not been registered under the U.S. Securities Act of 1933.
Conavi Medical develops imaging technologies for minimally invasive cardiovascular procedures. The company's Novasight Hybrid System combines intravascular ultrasound and optical coherence tomography in a single device for coronary artery imaging. The system has regulatory clearance in the United States, Canada, China and Japan.
The preliminary prospectus is available on SEDAR+ at www.sedarplus.ca. The offering requires completion of a definitive agency agreement and satisfaction of customary closing conditions.
