CommScope to sell connectivity unit to Amphenol for $10.5 billion

CommScope (NASDAQ: COMM) announced it has entered into a definitive agreement to sell its Connectivity and Cable Solutions segment to Amphenol Corporation (NYSE: APH) for approximately $10.5 billion in cash.

The transaction is expected to close within the first half of 2026, subject to customary closing conditions, including regulatory approvals and shareholder approval. The shareholder vote is required under Delaware law due to the transaction's nature and size.

CommScope expects net proceeds after taxes and transaction expenses to be approximately $10 billion. After repaying all debt and redeeming preferred equity held by Carlyle (NASDAQ: CG), the company plans to distribute excess cash to shareholders as a dividend within 60 to 90 days following the transaction's closing.

"I'm excited to announce this transformational deal that unlocks equity value, returns cash to our shareholders and strengthens our remaining businesses," said Chuck Treadway, CommScope's CEO. The company will retain its ANS and RUCKUS business segments following the sale.

CommScope is a network connectivity company based in Claremont, North Carolina. Amphenol Corporation manufactures electronic and fiber optic connectors, cables and interconnect systems.

Evercore is serving as financial advisor to CommScope, while Alston & Bird LLP is acting as legal counsel for the transaction.
