Coastal Carolina Bancshares completes merger with Beacon Holding

Coastal Carolina Bancshares, Inc. (OTCQX: CCNB), the parent company of Coastal Carolina National Bank, announced the completion of its merger with Beacon Holding Company, Inc. (OTCQB: BCON), the parent company of Beacon Community Bank, effective October 1, 2026.
Under the terms of the deal, Beacon merged into Coastal, with Coastal continuing as the surviving corporation. Beacon branch locations will operate as "Beacon Community Bank, a division of Coastal Carolina National Bank." A core systems conversion is scheduled for early 2027, after which the bank will be rebranded as Beacon Bank, N.A.
Coastal Carolina Bancshares will continue trading under the ticker symbol CCNB on the OTCQX market.
The combined organization will have approximately $2.3 billion in total assets, $2.0 billion in total deposits, and $1.8 billion in total loans. The merged entity will operate sixteen branches and a loan production office across markets spanning Charleston, SC to Wilmington, NC, and inland to the Upstate of South Carolina.
Raymond James & Associates served as exclusive financial advisor and Wyrick Robbins Yates & Ponton LLP served as legal counsel to Coastal. Keefe, Bruyette & Woods, a Stifel Company, served as exclusive financial advisor and Nelson Mullins Riley & Scarborough LLP served as legal counsel to Beacon.
