Cayman court blocks Blue Gold shareholder meeting amid litigation
Blue Gold Limited (NASDAQ: BGL) (NASDAQ: BGLWW) announced that a Cayman Islands court ruled on preliminary issues in ongoing shareholder litigation related to the company's 2025 business combination with Perception Capital Corp. IV.
The Financial Services Division of the Grand Court of the Cayman Islands determined that proposed amendments to the company's articles of association cannot be implemented at this stage. The court clarified interpretation of Blue Gold's articles in the context of the business combination and confirmed that modifications to shareholder class rights must follow procedures outlined in those articles.
The court ordered that an existing interim injunction preventing Blue Gold from proceeding with an extraordinary general meeting to alter its articles of association will remain in place pending final resolution at trial. The ruling addressed only preliminary issues, with substantive matters reserved for trial determination.
"We acknowledge the Court's ruling and respect the legal process," said Andrew Cavaghan, Blue Gold's chief executive officer. "While we are pleased to have clarity on certain interpretive matters relating to our Articles, this decision addresses only preliminary issues and does not resolve the broader dispute."
Cavaghan stated the company remains committed to protecting shareholder interests and will evaluate legal and strategic options as the case proceeds, including potential appeal or stay of the court's preliminary ruling.
The gold mining company, which focuses on mine-to-wallet gold delivery infrastructure, said several substantive matters remain for trial determination. Blue Gold stated it will continue engaging in the proceedings while focusing on its core business strategy.
