CNH Industrial unit prices Cdn$450 million in Canadian notes

CNH Industrial N.V. (NYSE: CNH) announced that its indirect wholly owned subsidiary, CNH Industrial Capital Canada Ltd., has priced Cdn$450 million in aggregate principal amount of 3.80% notes due January 22, 2030, at an issue price of 99.872%.

The notes are being offered through a private placement to accredited investors across Canadian provinces. The offering is expected to close on June 29, 2026, subject to customary closing conditions.

The notes are senior unsecured obligations of CNH Industrial Capital Canada Ltd. and will pay interest semi-annually on January 22 and July 22 each year, beginning January 22, 2027. The notes will be guaranteed by CNH Industrial Capital LLC, CNH Industrial Capital America LLC, and New Holland Credit Company, LLC, each an indirect wholly owned subsidiary of CNH Industrial N.V.

CNH Industrial Capital Canada Ltd. said it intends to use the net proceeds for working capital and general corporate purposes, including the purchase of receivables or other assets, as well as repayment of debt as it comes due.

The securities have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption.
