C3 Metals increases private placement to $24 million

C3 Metals Inc. (TSXV: CCCM) (OTCQB: CUAUF) announced it has increased the size of its previously announced bought deal private placement to $24.3 million due to investor demand.



The company will issue 22,134,800 common shares at $1.10 per share for gross proceeds of $24,348,280. Underwriters have been granted an option to purchase up to an additional 3,320,000 shares at the same price for additional gross proceeds of up to $3.7 million.



Paradigm Capital Inc. serves as lead underwriter and sole bookrunner for the syndicate of underwriters. The underwriters will receive a 6.0% cash commission on the gross proceeds of the offering.



C3 Metals plans to use the net proceeds for exploration and development activities at its 100%-owned Khaleesi Copper-Gold project and its 50%-owned Super Block project, along with general working capital purposes.



The offering is being conducted through private placement in Canadian provinces and may also be offered in the United States under exemptions from registration requirements. Securities issued will be subject to a hold period expiring four months and one day after closing.



The offering is expected to close on or about February 11, 2026, subject to regulatory and other approvals including approval from the TSX Venture Exchange.



The transaction may constitute a related party transaction if company insiders participate in the offering. The company stated it will rely on exemptions from valuation and minority shareholder approval requirements as it is not listed on a specified market and insider participation will not exceed 25% of market capitalization.
