Bunker Hill Mining raises C$45 million in private placement
Bunker Hill Mining Corp. (TSX-V: BNKR | OTCQB: BHLL) announced it has entered into an agreement with underwriters for a private placement of 375 million units at C$0.12 per unit, generating gross proceeds of C$45 million.
Each unit consists of one common share and one warrant. The warrants allow holders to purchase additional shares at C$0.17 each for 60 months from the closing date. The underwriters have an option to purchase up to an additional 56.25 million units at the same price.
Two cornerstone investors are expected to subscribe for approximately US$19.6 million and US$5 million respectively under the offering. The completion of the offering depends on the cornerstone subscriptions closing.
The company plans to use the proceeds to advance construction of the Bunker Hill Mine toward commercial production and for general corporate and working capital purposes.
The offering is being made to eligible purchasers in Canadian provinces and territories under National Instrument 45-106, as well as in other jurisdictions agreed upon by the company and underwriters. The securities will be subject to a four-month and one-day statutory hold period in Canada.
The offering is expected to close on September 29, 2025, subject to conditions including receipt of necessary approvals from the TSX Venture Exchange and securities regulatory authorities.
The underwriters will receive a 6% cash commission on gross proceeds and compensation options equal to 6% of the units sold. Each compensation option allows purchase of one common share at the lowest price permitted under TSXV policies for 24 months from closing.
