Brookfield Renewable BEPC shareholders approve corporate simplification

October 15, 2026 5:58 AM EDT

Brookfield Renewable Corporation (NYSE: BEPC) shareholders voted in favor of a proposed corporate structure simplification at a special meeting held Oct. 14, 2026. The plan would consolidate Brookfield Renewable Partners L.P. (NYSE: BEP; TSX: BEP.UN) and BEPC into a single listed security.

Approximately 66% of the issued and outstanding BEPC exchangeable shares as of the Aug. 21, 2026 record date were represented at the meeting. About 70% of votes cast by holders of BEPC exchangeable shares were in favor of the resolution, while all votes cast by holders of BEPC class B shares were in favor. The resolution required approval of at least two-thirds of votes cast in each voting class.

A separate special meeting of BEP unitholders is scheduled for Oct. 29, 2026 at 11:00 a.m. EDT. The proxy voting deadline for registered BEP unitholders is 5:00 p.m. EDT on Oct. 27, 2026. BEP's board of directors unanimously recommended that unitholders vote in favor of the simplification, citing a fairness opinion from Scotiabank. Proxy advisory firms ISS and Glass Lewis also recommended a vote in favor.

If BEP unitholder approval is obtained, a court hearing before the Supreme Court of British Columbia to obtain a final order is expected on or about Nov. 3, 2026. Completion of the simplification is anticipated in the fourth quarter of 2026.

Brookfield Renewable said the transaction is expected to be tax-deferred for Canadian and U.S. investors and completed without material cost to the business.
