Bluerock Acquisition completes $172.5 million IPO on NASDAQ

Bluerock Acquisition Corp. (NASDAQ: BLRKU) closed its initial public offering of 17.25 million units at $10.00 per unit, raising $172.5 million. The offering included 2.25 million units from the underwriters' full exercise of their over-allotment option.



Each unit consists of one Class A ordinary share and one-third of a redeemable warrant. Each whole warrant allows the purchase of one Class A ordinary share at $11.50 per share.



The units began trading on the Nasdaq Global Market under ticker "BLRKU" on December 11, 2025. The Class A ordinary shares and warrants will trade separately under symbols "BLRK" and "BLRKW" respectively once separate trading begins.



Concurrent with the IPO, the company completed a private placement of 4.5 million warrants at $1.00 per warrant, generating $4.5 million in gross proceeds. Bluerock Acquisition Holdings, LLC, the company's sponsor, purchased 3 million warrants while Cantor Fitzgerald & Co. bought 1.5 million warrants. These private placement warrants are exercisable at $11.50 per share.



The company placed $172.5 million from the combined offerings into trust, representing $10.00 per unit sold in the public offering.



Bluerock Acquisition Corp. is a special purpose acquisition company formed to pursue mergers, acquisitions or business combinations across any industry. The company may target businesses in any sector for its initial business combination.



Cantor Fitzgerald & Co. served as sole book-running manager for the offering. Brookline Capital Markets, a division of Arcadia Securities, LLC, and Clear Street LLC acted as co-managers.



The Securities and Exchange Commission declared the registration statement effective on December 10, 2025.
