Big Bear Gold to acquire Peerless Property option from Bathurst Metals
Big Bear Gold Corp. (TSXV: BEAR) has signed an assignment and assumption of property option agreement dated September 25, 2026, to acquire Bathurst Metals Corp.'s (TSXV: BMV) 100% optioned interest in the Peerless Property, located in the Bridge River Mining Camp, British Columbia.
The Peerless Property encompasses 12 mineral claims covering 5,500.43 hectares. Historical RC drilling from 1987 recorded results including 4.52 metres of 28.93 grams of gold per tonne and 1.52 metres of 35.12 grams of gold per tonne from the beta zone. Five distinct gold zones have been identified on the property: alpha, beta, gamma, delta, and epsilon. The property holds an active drill permit and has year-round road access.
Under the terms of the agreement, Big Bear Gold will issue 3,555,000 common shares to Bathurst Metals in exchange for the assignment of the option rights. Both parties will equally share the cost of preparing an NI 43-101 compliant technical report on the property.
To acquire a 100% interest in the Peerless Property, Big Bear Gold must fulfill remaining obligations to the property owner totaling $350,000 in cash payments, $2,000,000 in exploration expenditures, and 5,500,000 common shares, payable in stages through September 30, 2029.
The property acquisition is subject to a 2.5% net smelter returns royalty in favor of the owner, with a buy-back provision allowing the purchase of a 1.0% royalty for $1,000,000 within six months of the commencement of commercial production.
Closing of the transaction is contingent on satisfactory due diligence within 90 days and approval from the TSX Venture Exchange. All shares issued in connection with the transaction will be subject to a hold period expiring four months and one day from the date of issuance.
The technical content of the announcement was reviewed and approved by Lorne Warner, a qualified person as defined by National Instrument 43-101, who also serves as President of Bathurst Metals Corp.
