AvalonBay and Equity Residential shareholders approve merger

AvalonBay Communities (NYSE: AVB) and Equity Residential (NYSE: EQR) announced that shareholders of both companies have voted to approve their pending merger of equals, with the deal expected to close on August 17, 2026.
More than 99% of votes cast at each company's special meeting supported the merger. At the AvalonBay special meeting, the approving votes represented approximately 90% of outstanding common shares. At the Equity Residential special meeting, the approving votes, which covered the issuance of Equity Residential common shares to AvalonBay stockholders as merger consideration, also represented approximately 90% of outstanding common shares.
Under the terms of the deal, each share of AvalonBay common stock will convert into 2.793 Equity Residential common shares upon closing, subject to the satisfaction or waiver of customary closing conditions.
Following the completion of the merger, the combined company will be renamed Vivmark Residential, with its common shares expected to begin trading on the New York Stock Exchange under the ticker symbol "VMRK" on August 18, 2026.
Final voting results from both special meetings will be filed by each company with the U.S. Securities and Exchange Commission on Form 8-K.
