Auddia Inc. (NASDAQ: AUUD) has published a CEO letter to shareholders outlining the status of its proposed merger with Thramann Holdings and providing an update on LT350, a distributed AI datacenter platform that would become part of the combined company upon deal closing.
Auddia entered into a definitive merger agreement with Thramann Holdings on February 17, 2026. If completed, the transaction would form McCarthy Finney Inc., expected to trade under the ticker MCFN on Nasdaq, subject to applicable approvals. The combined entity would also include Influence Healthcare and Voyex as subsidiaries.
According to the letter, LT350 deploys AI-ready datacenters as solar canopies above existing parking lots, integrating GPU compute, battery storage, liquid cooling, microgrid controls, fiber connectivity, and cloud orchestration. The company claims this architecture addresses land use, water consumption, noise, and permitting challenges associated with traditional datacenter construction. LT350 holds 14 issued patents and three pending patent applications covering its platform.
The letter states that LT350's canopy architecture is expected to deliver AI-ready infrastructure at approximately $3 million per megawatt, compared to industry construction cost estimates of $15 million to $40 million per megawatt cited from commercial real estate data. LT350 is advancing a pilot canopy at a hospital in the Dallas area.
The CEO letter references several GPU access contracts disclosed across the industry, including Akamai's reported $11.6 billion to $20 billion agreement with Anthropic, Nscale's $3.5 billion contract with Figure AI for 100,000 GPUs, and Applied Digital's $5.2 billion multi-year hosting agreement. These figures were cited as context for the scale of demand in the GPU compute market.
LT350 is described as being in discussions with fiber providers, real estate investment trusts, convenience store chains, quick-service restaurant operators, logistics companies, and critical infrastructure organizations. The company said it is working to form a national consortium of real estate and fiber partners.
Auddia said it expects to announce new partnerships as agreements are finalized and will continue working toward merger completion.
