Auddia prices $12 million public offering at $2.36 per share

Auddia Inc. (NASDAQ: AUUD) announced the pricing of a public offering consisting of 5,084,745 shares of common stock and warrants to purchase an additional 5,084,745 shares at a combined price of $2.36 per share and warrant.



The warrants carry an exercise price of $2.36 per share and will be exercisable immediately upon issuance. They expire upon the earlier of either the completion of a merger agreement dated February 17, 2026, with McCarthy Finney Inc. and related entities, or five years from the date of issuance.



The offering is expected to generate approximately $12 million in gross proceeds before deducting placement agent fees and other offering expenses. The closing is anticipated to occur around April 27, 2026, subject to customary closing conditions.



Dawson James Securities Inc. serves as the exclusive placement agent for the offering. The company stated it intends to use net proceeds for working capital and general corporate purposes.



The securities are being offered through a registration statement on Form S-1 that was declared effective by the Securities and Exchange Commission on April 23, 2026. Auddia operates as a technology company with a proprietary AI platform for audio identification and classification.
