Auddia completes $12 million financing to accelerate merger with Thramann

Auddia Inc. (NASDAQ: AUUD) announced it completed a $12 million financing that will accelerate the closing of its merger with Thramann Holdings, LLC to form McCarthy Finney, according to a press release statement.

The financing enables the company to file an S-4 registration statement and schedule a shareholder vote to approve the merger originally announced in February. The combined entity will trade under the ticker MCFN on NASDAQ.

The merger will create an AI holding company comprising four subsidiaries: LT350 for distributed AI datacenters, Influence Healthcare for AI-driven value-based care, Voyex for AI travel rebooking, and Auddia for AI music discovery. Auddia projects the post-merger company will have a $250 million discounted cash flow valuation, with LT350 representing approximately 50% of that value.

LT350 operates distributed AI datacenters by deploying GPU infrastructure in parking lot airspace using modular canopies, GPU cartridges, battery-buffered power, and zero-water liquid cooling systems. The company holds 13 issued patents, one allowed patent, and three pending patents for its solar parking lot canopy technology.

"Auddia entered the recent financing as a company valued by the market at roughly $2 million," said Jeff Thramann, CEO of Auddia and founder of Thramann Holdings. "The merger introduces a multi-subsidiary AI platform supported by an internal $250 million discounted cash flow valuation framework."

Thramann Holdings owns LT350, Influence Healthcare, and Voyex. The company will file additional merger documentation with the Securities and Exchange Commission as the transaction progresses toward completion.
