Anywhere Real Estate HSR waiting period expires for Compass merger

Anywhere Real Estate Inc. (NYSE: HOUS) announced that the Hart-Scott-Rodino Antitrust Improvements Act waiting period for its proposed merger with Compass Inc. expired on January 2, 2026 at 11:59 p.m. Eastern Time.
The companies entered into a merger agreement on September 22, 2025, under which Velocity Merger Sub Inc., a wholly-owned subsidiary of Compass, will merge with Anywhere Real Estate. The transaction would result in Anywhere becoming a wholly-owned subsidiary of Compass.
The merger remains subject to additional closing conditions, including approval by Anywhere's stockholders of the merger agreement and approval by Compass stockholders of certain share issuances related to the transaction.
The companies expect the merger to close shortly after all remaining conditions are satisfied, according to the statement.
