AmpliTech extends rights offering deadline, receives $6.7 million

AmpliTech Group Inc. (NASDAQ: AMPG) extended the deadline for its rights offering until January 9, 2026, after receiving approximately $6.7 million in subscription commitments as of December 10, according to a company statement.

The company reported receiving over 900,000 basic subscriptions and over 700,000 oversubscriptions for the offering, which prices units at $4 each. The board of directors extended the original deadline to provide additional time for common stock holders and eligible warrant holders to participate.

The rights offering allows for a maximum of 8 million units. Each unit includes one share of common stock, one Series A Right, and one Series B Right, with each right enabling the purchase of additional common stock. AmpliTech plans to seek listing for the Series A and Series B Rights on the Nasdaq Capital Market, though the company stated it cannot guarantee this outcome.

Holders who fully exercise their unit rights may oversubscribe for additional units not purchased by other right-holders, subject to pro rata allocation and availability. The company has engaged Moody Capital Solutions Inc. as dealer-manager for the offering.

AmpliTech operates through five divisions focused on radio frequency microwave components and 5G network solutions, serving markets including satellite communications, telecommunications, space exploration, defense, and quantum computing.

The offering is being conducted under an effective Form S-3 registration statement filed with the Securities and Exchange Commission.
