AmpliTech Group unit rights offering expires December 10

AmpliTech Group Inc. (NASDAQ: AMPG, AMPGW) announced its unit rights offering will expire at 5:00 PM Eastern Time on December 10, 2025, according to a company statement.

The offering consists of up to 8 million units priced at $4 per unit. Each unit includes one share of common stock, one Series A Right, and one Series B Right to purchase additional common shares. The Series A Rights allow holders to purchase shares at $5 each until July 18, 2026, while Series B Rights are exercisable at $6 per share until November 20, 2026.

The company may extend the offering period up to January 9, 2026. Rights holders who fully exercise their allocations can participate in an oversubscription privilege for additional units not purchased by other holders, subject to pro rata allocation and availability.

AmpliTech stated it intends to use net proceeds to scale domestic manufacturing and operations, advance research and development, deepen vertical integration and supply-chain resilience, engage in strategic partnerships, support corporate growth initiatives, and for working capital and general corporate purposes.

The company plans to list the common shares on the Nasdaq Capital Market and will make efforts to have the Series A and Series B Rights listed on Nasdaq, though it cannot guarantee this outcome.

MacKenzie Partners Inc. serves as information agent for the offering, while Moody Capital Solutions Inc. acts as dealer-manager. AmpliTech has filed a registration statement with the Securities and Exchange Commission for the offering.

The company reserves the right to terminate the rights offering at any time prior to the expiration date.
