AmpliTech Group begins unit rights offering subscription period

AmpliTech Group Inc. (NASDAQ: AMPG, AMPGW) commenced the subscription period for its 2025 unit rights offering on November 11, 2025, according to a company announcement.

Shareholders who owned AMPG or AMPGW stock as of November 7, 2025, became shareholders of record on November 10, 2025. The stock began trading ex-rights on November 10, 2025.

The rights offering allows eligible shareholders to purchase up to 8 million units at $4.00 per unit. Each unit consists of one common stock share and two short-term rights to purchase additional common shares. Shareholders receive two unit rights for each common share or warrant they owned on the record date.

The company established a calendar for the offering with key dates including a December 10, 2025 deadline for unit subscription rights, with a potential extension to January 9, 2026. The offering also includes Series A rights priced at $5.00 per share expiring July 18, 2026, and Series B rights at $6.00 per share expiring November 20, 2026.

Shareholders who fully exercise their unit subscription rights may oversubscribe for additional available units, subject to potential pro rata allocation.

AmpliTech Group designs and manufactures signal-processing components for satellite, 5G, and other communications networks. The company has engaged Moody Capital Solutions Inc. as dealer-manager and MacKenzie Partners Inc. as information agent for the rights offering.

The company reserves the right to terminate the offering at any time before expiration and stated that a prospectus will be filed with the Securities and Exchange Commission.
