American Industrial Technologies announced it signed a letter of intent with ideaForge Technology Limited to explore forming a strategic joint venture focused on drone, artificial intelligence, and secure mobility solutions.

The proposed partnership would combine AIT's telecommunications, IoT, logistics, AI, and mobility operations with ideaForge's unmanned aerial systems and autonomous drone technology. AIT recently entered into a non-binding letter of intent to merge with SIM Acquisition Corp. I (NASDAQ: SIMA).

"This proposed joint venture represents the convergence of AI, mobility, secure communications, and autonomous systems," said John Chiorando, chairman and CEO of American Industrial Technologies.

Ankit Mehta, director of ideaForge Technology Limited, said the partnership represents a step toward expanding access to drone technology across global markets for defense, government, enterprise, and industrial customers.

The proposed joint venture would focus on AI-enabled drone and robotics platforms, drones-as-a-service solutions, secure communications, border security applications, industrial inspection, enterprise AI integration, and U.S.-based electronic component manufacturing.

The companies plan to explore integrating AI capabilities, secure 5G communications, satellite connectivity, and autonomous operational intelligence into mobility and drone platforms for commercial and government deployment.

Completion of the transaction requires negotiation and execution of definitive shareholding and joint venture agreements, plus customary approvals.

AIT operates IoT solutions, logistics operations, enterprise mobility deployments, and government relationships across North America, South America, and Europe. The company is headquartered in Orlando, Florida, in a 106,000-square-foot facility and employs more than 200 people.

ideaForge provides autonomous aerial systems for defense, homeland security, mapping, surveillance, and industrial applications globally.
