Agomab proposes two new board members ahead of shareholder vote

Agomab Therapeutics NV (Nasdaq: AGMB) has proposed appointing Marino Garcia and Naimish Patel, M.D. as non-executive members of its board of directors, according to a press release from the Antwerp, Belgium-based company. The appointments are subject to shareholder approval at a Special General Meeting scheduled for September 11, 2026.



Garcia currently serves as President, Chief Executive Officer, and board member of Dianthus Therapeutics (Nasdaq: DNTH). He has previously held senior roles at Zealand Pharma, Synergy Pharmaceuticals, Aptalis Pharma, Aspreva Pharmaceuticals, Merck, Pfizer, and Eli Lilly.



Dr. Patel currently serves as Chief Medical Officer of CRISPR Therapeutics (Nasdaq: CRSP). Before that role, he held senior positions at Sanofi, where he led the global immunology and inflammation development organization. He has also held leadership positions at AstraZeneca and Vertex Pharmaceuticals, and previously served on the faculty of Harvard Medical School and Beth Israel Deaconess Medical Center.



Agomab also announced an Extraordinary General Shareholders' Meeting, also scheduled for September 11, 2026 in Antwerp, to seek shareholder approval for a proposed consolidation and split of outstanding pre-IPO warrants. Under the proposal, each pre-IPO warrant would be adjusted to reflect the share split implemented in connection with Agomab's IPO in February 2026. Both meetings are set for 2:30 PM CEST.
