Abaxx Technologies Inc. (CBOE: ABXX) announced it has acquired a strategic position in ARTEX AG, a regulated trading venue for fine art operated by ARTEX Global Markets AG. The acquisition provides Abaxx access to European markets and the fine art sector.

Under the cooperation agreement, Abaxx will deploy its Digital Title and ID++ technology on ARTEX's platform and develop futures contracts based on fine art price indices for trading on Abaxx Exchange. ARTEX operates as a multilateral trading facility regulated by Liechtenstein's Financial Market Authority.

The investment consists of zero-coupon convertible debentures allowing Abaxx to acquire up to 10% of ARTEX's shares over three years at $1 million per approximately 1% stake. Additional warrants provide rights to acquire up to 9.9% more shares at valuations determined by ARTEX's board.

"The global art market—with $2.5 trillion of assets in private hands—has remained opaque and illiquid precisely because it lacks both" transparent data and trusted infrastructure, said Josh Crumb, Abaxx's founder and CEO.

ARTEX CEO Yassir Benjelloun-Touimi said the partnership will "enhance robustness, expand global reach and provide critical validation to our institutional partners as we establish art as a legitimate mainstream asset class."

The first tranche of debentures has been issued, with the second tranche expected to close around January 2026. ARTEX enables fractional ownership and real-time trading of masterpieces from the Renaissance to the 20th century.

Abaxx operates commodity exchanges and clearing services through its majority-owned Abaxx Singapore subsidiary, trading futures contracts in LNG, carbon, battery materials and precious metals.
