AMN Healthcare prices $400 million senior notes offering

AMN Healthcare Services Inc. (NYSE: AMN) announced that its subsidiary AMN Healthcare Inc. priced a private offering of $400 million in senior unsecured notes due 2031. The notes will carry a 6.500% annual interest rate and will be issued at face value.



The company plans to use proceeds from the offering, along with cash on hand and borrowings from a new revolving facility, to redeem all $500 million of its outstanding 4.625% senior unsecured notes due 2027. The funds will also cover fees and expenses related to the offering.



AMN Healthcare delivered a conditional notice of redemption to holders of the 2027 notes, providing for redemption of the full $500 million amount on October 22, 2025, contingent on successful completion of the 2031 notes offering. The new offering is expected to close October 6, 2025, subject to customary closing conditions.



The 2031 notes will be guaranteed by company affiliates that guarantee AMN Healthcare's credit facilities. The notes will be offered only to qualified institutional buyers under Rule 144A and to non-U.S. persons outside the United States under Regulation S of the Securities Act.



AMN Healthcare provides workforce solutions for healthcare organizations. The company states that in 2024, its healthcare professionals reached nearly 15 million patients at more than 2,100 healthcare systems, including 87% of top healthcare systems nationwide.
