AIFA disputes HyalRoute management claims on $4 billion acquisition deal
All In FutureTech Alliance Inc. (NASDAQ: AIFA) issued a formal response to statements from HyalRoute Communication Group Limited's management team that characterized the company's announced acquisition as "false" or "fabricated."
AIFA stated that its May 22, 2026 announcement regarding the acquisition of a controlling interest in HyalRoute was based on formally executed agreements with registered shareholders including Rainman Network Ltd., Dece Capital Limited, Fair Cheerful Limited, and Yellow River Fiber Optic Ltd.
The company clarified that the transaction currently involves only shareholder-level equity arrangements and does not extend to HyalRoute's board or management level. AIFA said management statements have conflated shareholder equity transactions with corporate governance arrangements.
According to the press release, AIFA is working with investment banks on potential tender offer arrangements and expects support from shareholders representing more than 70% of HyalRoute's equity interests. The company said certain state-owned shareholders have expressed interest in participating.
The acquisition values HyalRoute at $4.0 billion overall, with a price of $10.00 per share. AIFA stated the transaction terms were established after approximately three years of negotiations.
AIFA characterized the management disputes as internal shareholder disagreements unrelated to the company's transaction arrangements with registered shareholders. The company said it negotiated solely with parties in their capacity as registered HyalRoute shareholders.
The transaction remains subject to closing conditions and regulatory approvals. AIFA said it will continue to advance the approval process in compliance with applicable laws and regulations.
AIFA reserved the right to pursue legal remedies regarding what it termed false statements that may mislead the market or damage the company's reputation.
