1911 Gold launches C$13 million private placement and life offering
1911 Gold Corporation (TSXV: AUMB) announced a financing arrangement to raise up to C$13 million through a combination of private placement and listed issuer financing exemption offerings. The company entered into an agreement with Haywood Securities Inc. as lead agent and sole bookrunner for the transaction.
The offering consists of multiple share classes at different prices. Common shares will be sold at C$0.45 each, while flow-through shares qualifying as Canadian exploration expenses will be priced at C$0.64 per share. Flow-through shares for accelerated Canadian development expenses are priced at C$0.554 per share.
The main offering targets gross proceeds of up to C$10.2 million, with an additional private placement component seeking up to C$2.7 million. Agents have been granted an option to sell an additional 15% of the marketed offering at the same respective prices.
For flow-through shares, 1911 Gold committed to use proceeds for qualifying expenditures by December 31, 2026, with renunciation to purchasers by specified dates in 2025 and 2026. Net proceeds from non-flow-through shares will be used for general corporate and working capital purposes.
The company will pay agents a 6% cash commission on gross proceeds, reduced to 3% for certain president's list purchases. Agents will also receive compensation options equal to 6% of shares sold, exercisable at C$0.45 for 24 months from closing.
The offering is expected to close around October 15, 2025, subject to regulatory approvals including TSX Venture Exchange acceptance. 1911 Gold operates mining properties in Manitoba and Ontario, including the True North mine and mill complex.
