Mizuho analyst Graig Suvannavejh downgraded Vigil Neuroscience Inc (NASDAQ: VIGL) from Outperform to Neutral with a price target of $8.00 (from $13.00).
The analyst comments: "Following VIGL's announcement of its acquisition by Sanofi (SNY, not covered), and having had the opportunity to speak with VIGL management earlier today (see within), we now downgrade to Neutral/$8 PT (vs. Outperform/$13 PT prior). In moving to $8, we reflect terms of the deal, but note that we don't take into account the non-tradeable contingent value right/CVR of $2.00/share that is eligible to shareholders, with a view that potential first sales of VG3927 for Alzheimer's disease/AD (the precondition of the CVR) likely won't happen until the early 2030s. While the proxy filing for the deal won't be available for several more weeks, seeing (1) no particular reason for the deal to get blocked on FTC/antitrust concerns, and (2) it unlikely that another bidder will emerge, we expect the deal to fully close, as originally proposed, in 3Q25 (as guided by VIGL/SNY) or sometime later this year."
