H.C. Wainwright Reiterates Buy Rating on Tempus AI Inc (TEM)

H.C. Wainwright analyst Yi Chen reiterated a Buy rating and $64.00 price target on Tempus AI Inc (NASDAQ: TEM).

The analyst commented: "Tempus AI announced earlier this week that it had entered into a definitive agreement to acquire Personalis (PSNL; not rated) to expand Tempus’ capabilities in minimal residual disease (MRD). The transaction values Personalis at a total enterprise value of $1.5B, net of Tempus' existing ownership interest. Under the agreement, Personalis shareholders will receive consideration of $16.25 per share of common stock. The consideration is structured as a 100% stock transaction, and Personalis shareholders will receive a floating exchange ratio of Tempus AI common stock for each share of Personalis common stock they own at closing, subject to a maximum exchange ratio of 0.3356. Of note, the two companies have an existing partnership since November 2023, under which Tempus invested in Personalis and commercialized the company’s NeXT Personal MRD test. NeXT Personal has industry-leading sensitivity for detecting small traces of circulating tumor DNA, enabling tracking of cancer treatment response, detection of residual cancer and early detection of recurrence. The transaction will combine Tempus’ multimodal data platform, AI capabilities and precision oncology portfolio with Personalis’ tumor-informed MRD technology to expand access to longitudinal monitoring and create new opportunities in biomarker discovery and personalized cancer care. Management expects the transaction to close in late 2026 and early 2027. In our view, this acquisition should allow Tempus to target the $20B MRD market opportunity more effectively while strengthening its topline growth rate in 2027 and beyond. We reiterate our Buy rating and $64 price target."
