bluebird bio (NASDAQ: BLUE) has determined that it is unable, without unreasonable effort or expense, to file with the Securities and Exchange Commission (the “SEC”) its Quarterly Report on Form 10-Q for the three months ended March 31, 2024 (the “Quarterly Report”) by the prescribed due date for the reasons described below.
As previously reported, the Company is delayed in filing its Annual Report on Form 10-K for the year ended December 31, 2023 (the “2023 Form 10-K”) due to the need to restate its financial statements for the year ended December 31, 2022 and for each of the first three quarters of 2022 and 2023. As a result of the extended timeline to file the 2023 Form 10-K, the Company is unable to complete and file the Quarterly Report by the required due date of May 15, 2024.
