On June 27, 2024, the Board of Directors of Verizon Communications (NYSE: VZ) elected Caroline A. Litchfield, Executive Vice President and Chief Financial Officer of Merck & Co., Inc., as a director, effective October 1, 2024. As a director, Ms. Litchfield will participate in the compensation program applicable to all non-employee directors, which is described under the heading “Non-Employee Director Compensation” in Verizon’s definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on March 25, 2024. Ms. Litchfield has not yet been named to a Board committee.
