On February 27, 2025, Catherine R. Smith, Nordstrom (NYSE: JWN) Chief Financial Officer, informed the Company of her intention to step down from her role following the filing of the Company’s Annual
Report on Form 10-K for the fiscal year ended February 1, 2025, anticipated to be within the next month. Ms. Smith’s resignation is not the result of any dispute or disagreement with the Company, including with respect to any matters relating to the Company’s accounting practices or financial reporting.
