Altai Capital Management nominated two candidates for election to OraSure Technologies' board of directors at the 2026 annual meeting of stockholders. The investment firm, which owns approximately 5.2% of OraSure (NASDAQ: OSUR), nominated John Bertrand, co-founder of Digital Diagnostics, and Rishi Bajaj, president and chief investment officer of Altai.
The nominations follow a December 17 letter from Altai to OraSure's board expressing concerns about the company's share price performance and strategic decisions. Altai stated it believes the current board lacks the expertise needed to improve company value.
Bajaj founded Altai Capital Management in 2009 and currently serves on the board of Digimarc Corporation. He previously served on boards of ContextLogic, MobileIron, and ServiceSource International. He holds a degree from The Wharton School of the University of Pennsylvania.
Bertrand co-founded Digital Diagnostics in 2019 and serves as its chief executive officer. He previously worked at Epic Systems Corporation for more than 12 years in business development and product management roles. He currently serves as a senior advisor to Bain Capital and 8VC, and holds director positions at KeyCare, Surglogs, Digital Diagnostics, and Sirona Medical.
Altai filed a Schedule 14A with the Securities and Exchange Commission on January 15 regarding the proxy solicitation. The firm plans to file a definitive proxy statement and accompanying proxy form for the stockholder vote.
OraSure Technologies develops and manufactures diagnostic tests and collection devices.
