CorEnergy Infrastructure Trust, Inc. (NYSE: CORR) announced the pricing of its previously announced underwritten public offering. CorEnergy has agreed to sell 13,000,000 shares of its common stock at a purchase price of $6.00 per share. The gross proceeds of the offering are expected to be approximately $78 million, before underwriting discounts and other estimated offering expenses. CorEnergy has granted the underwriters a 30-day option to purchase up to an aggregate of 1,950,000 additional shares of common stock. The offering is expected to close on or about December 18, 2012, subject to customary closing conditions.
CorEnergy intends to use the net proceeds of the offering for the previously announced anticipated acquisition of a Liquids Gathering System located in the Pinedale Field in Wyoming from an indirect wholly-owned subsidiary of Ultra Petroleum Corp. (NYSE: UPL). The transaction is expected to close in mid-December 2012.
BofA Merrill Lynch, KeyBanc Capital Markets, RBC Capital Markets, Wells Fargo Securities and Stifel Nicolaus Weisel are acting as joint book running managers for the offering.
