XPO Logistics (XPO) Prices 8M Offering at $15.75/Share

XPO Logistics, Inc. (AMEX: XPO) announced the pricing of a registered underwritten public offering of shares of its common stock at a price to the public of $15.75 per share and that it has increased the size of the offering to 8,000,000 shares from the previously announced 6,000,000 shares.

The underwriters have a 30-day option to purchase up to an additional 1,200,000 shares of common stock from XPO solely to cover over-allotments. Morgan Stanley & Co. LLC, Deutsche Bank Securities Inc. and Jefferies & Company, Inc. are acting as joint book-running managers for the offering. The co-managers for the offering are BB&T Capital Markets, a division of Scott & Stringfellow, LLC, Oppenheimer & Co. Inc., Raymond James & Associates, Inc. and Stifel, Nicolaus & Company, Incorporated. XPO intends to use the net proceeds of the offering for general corporate purposes, which may include potential acquisitions. The offering is expected to close on March 20, 2012, subject to customary closing conditions.
