Notable Mergers and Acquisitions of the Day 1/25: [(ILMN) (ONB)/(INCB)]

January 25, 2012 10:58 AM EST
  • Roche announced a proposal to acquire all outstanding shares of Illumina, Inc. (NASDAQ: ILMN) for $44.50 per share in cash, or an aggregate of approximately $5.7 billion on a fully diluted basis.

This offer represents a approx. 18% premium to Tuesday's NASDAQ close and a 64% premium over Illumina’s stock price on December 21, 2011 - the day before market rumors about a potential transaction between Roche and Illumina drove Illumina's stock price significantly higher.

Roche said has made multiple efforts to engage with Illumina in order to reach a negotiated transaction, but Illumina has been unwilling to participate in substantive discussions.

  • Old National Bancorp (NYSE: ONB) and Indiana Community Bancorp (Nasdaq: INCB) of Columbus, Ind., jointly announced today the execution of a definitive agreement pursuant to which Old National will acquire Indiana Community Bancorp through a merger.

Under the terms of the merger agreement INCB shareholders will receive 1.90 shares of ONB common stock for each share of INCB common stock held by them. Based upon a $12.00 per share Old National Bancorp common stock price the transaction is valued at approximately $79.2 million. The transaction value will likely change before close due to fluctuations in the price of Old National common stock.

The transaction is expected to close in the second quarter of 2012 and is subject to approval by federal and state regulatory authorities and Indiana Community Bancorp's shareholders and the satisfaction of the closing conditions provided in the merger agreement.
