- Blue Coat Systems, Inc. (Nasdaq: BCSI), has entered into a definitive agreement to be acquired by an investor group led by San Francisco-based private equity investment firm Thoma Bravo, LLC, in a transaction valued at approximately $1.3 billion. The Blue Coat Board of Directors has approved the agreement and resolved to recommend that the shareholders of Blue Coat adopt this agreement.
Under the terms of the agreement, Blue Coat shareholders will receive $25.81 in cash for each share of Blue Coat common stock they hold, representing a premium of approximately 48% over Blue Coat's closing price on December 8, 2011 and a premium of approximately 62% over the 60-day trailing average for the period ended December 8, 2011.
Goldman, Sachs & Co. is serving as financial advisor to Blue Coat. Thoma Bravo, LLC has received financing commitments from Jefferies Finance LLC.
- The Toro Company (NYSE: TTC) today announced it has acquired the Graden greens roller product line, which includes the GSR 1200 greens roller. The acquisition provides entry into a new product category and broadens Toro’s offering to golf customers worldwide. Terms of the deal were not disclosed.
“This acquisition fills an important product gap in our core golf business and helps further strengthen our offering in the greens care category,” said Darren Redetzke, vice president of Toro’s Commercial Business. “Rolling greens has become an important agronomic practice for golf courses that improves the health and playability of the greens. By leveraging our brand strength and extensive global distribution, we are well positioned for growth in this new segment.”
- Lattice Semiconductor Corporation (Nasdaq: LSCC) announced it has entered into a definitive agreement to acquire SiliconBlue Technologies, a pioneer and leader in Custom Mobile Device" solutions for the consumer handheld market. Utilizing a single chip, ultra-low power Field Programmable Gate Array (FPGA) fabric, SiliconBlue's mobileFPGA" devices enable mobile designers to quickly add features to their mobile platform in areas such as connectivity, memory / storage, sensor management, and video / imaging. SiliconBlue's mobile FPGA devices have already shipped in the millions of units to top tier consumer OEM's.
Under terms of the agreement, Lattice Semiconductor will pay approximately $62 million in cash for SiliconBlue Technologies. The acquisition is subject to standard closing conditions, with a targeted close in the fourth quarter of 2011. Lattice Semiconductor ended the third quarter of 2011 with a cash, cash equivalents and short-term marketable securities balance of $267.2 million.
