Notable Mergers and Acquisitions of the Day 11/07: (GD)/(FRPT) (ADPI) (SLE) (TKLC)

  • General Dynamics (NYSE: GD) and Force Protection, Inc. (Nasdaq: FRPT) entered into a definitive merger agreement under which General Dynamics will acquire Force Protection for a price of $5.52 per share of common stock, or approximately $360 million.

    Force Protection will become a part of General Dynamics Land Systems.

    The transaction is expected to be accretive to General Dynamics' earnings in 2012.

  • American Dental Partners, Inc. (Nasdaq: ADPI) entered into a definitive agreement to be acquired private equity firm JLL Partners, Inc. for $19.00 per share, or an 83% premium to Friday's close. The transaction is valued at approximately $398 million, including $81 million in currently outstanding debt.

    Under the terms of the merger agreement, the Company may solicit acquisition proposals from third parties for a period of 40 calendar days from the date of the merger agreement. If there is not a superior offer, the transaction is expected to close during Q112.

    BofA Merrill Lynch is acting as financial advisor to the Company and Baker & Hostetler, LLP is acting as legal advisor to the Company.

  • Tekelec (Nasdaq: TKLC) entered an agreement to be acquired by a consortium led by Siris Capital Group, LLC for $11.00 per share in cash, or an 11% premium to Friday's close. The total transaction is valued at approximately $780 million.

    The Siris Capital Group, LLC led consortium includes affiliates of The ComVest Group, funds and accounts managed by GSO Capital Partners LP, Sankaty Advisors LLC, ZelnickMedia and other Siris limited partners and affiliates.

    The deal is expected to close during Q112, pending shareholder approval, regulatory approvals and customary closing conditions.

    Goldman, Sachs & Co. is acting as financial advisor, and Bryan Cave LLP and Akin Gump Strauss Hauer & Feld LLC are acting as legal counsel to Tekelec.

  • Sara Lee Corp. (NYSE: SLE) today announced it is considering on an exclusive basis a binding offer from Sagard for the sale of EuroDough (Sara Lee's European chilled dough business) for a purchase price of €115 million (approximately $159 million at current exchange rates). The transaction is expected to be completed within 90 days and remains subject to consultations with works councils and regulatory clearance.
