Notable Mergers and Acquisitions of the Day 10/19: (ORCL) (FE) (GSK)/(HGSI)

  • Oracle (Nasdaq: ORCL) has entered into an agreement to acquire Endeca Technologies, Inc.

    The transaction is subject to customary closing conditions and is expected to close before the end of 2011. Until the deal closes, each company will continue to operate independently.

    Financial terms were not disclosed.

    Endeca is a provider of unstructured data management, web commerce and business intelligence solutions.

  • The FirstEnergy Corp. (NYSE: FE) and Boich Companies subsidiaries that jointly own the Signal Peak coal mine in Montana announced that Pinesdale LLC, a fully owned subsidiary of the Gunvor Group, Ltd., one of the world's leading commodity traders, has purchased a one-third interest in the venture for $400 million.

    As part of the transaction, FirstEnergy will receive nearly $260 million of the proceeds. Additionally, the transaction will reduce FirstEnergy debt by approximately $360 million due to deconsolidation and will result in an estimated gain for FirstEnergy of $390 million due to the revaluation of the asset.

  • GlaxoSmithKline (NYSE: GSK) could bid as much as $25 per share in cash for Human Genome (Nasdaq: HGSI), according to the U.K.'s Daily Mail. The article points out the two companies already partner for Benlysta.

    With Human Genome shares last trading around $12, the rumored price would indicate a more than 100 percent premium.
