Capital One (COF) Prices 40M Common Offering at $50/Share

Capital One Financial Corporation (NYSE: COF) has priced a 40 million common offering at $50 per share. The price is a 1.7 percent discount to yesterday's closing of $50.87.

Capital One also has granted the underwriters a 30-day option to purchase an additional 6 million shares of common stock from Capital One at the same price to cover any over-allotments. Any shares purchased pursuant to the underwriters' option to purchase additional shares are not subject to the forward sale agreements. The offering is expected to close on July 19, 2011, subject to customary closing conditions. Capital One intends to use the net proceeds received upon settlement of the forward sale agreements and any exercise of the over-allotment option to fund a portion of its previously announced acquisition of ING Direct.
