National Semi (NYSE: NSM) 71% HIGHER; Texas Instruments to buy National Semi for $25/share in cash.

Cubist Pharmaceuticals (Nasdaq: CBST) 13.3% HIGHER; settles CUBICIN patent litigation with Teva (Nasdaq: TEVA).

IVAX Diagnostics, Inc. (AMEX: IVD) 11.8% LOWER; reports its audited consolidated financial statements for the fiscal year ended December 31, 2010, included in its Annual Report on Form 10-K which was filed with the Securities and Exchange Commission on March 30, 2011, contained a report from its independent registered public accounting firm that indicates there is a substantial doubt about IVAX Diagnostics’ ability to continue as a going concern.

Meru Networks (Nasdaq: MERU) 9.1% LOWER; offers preliminary Q1 results: sees sales of $20-$20.5 million, vs. prior guidance of $21.5-$22.5 million and compared to the Street estimate of $22.20 million.

Team Inc. (NASDAQ: TISI) 7.5% LOWER; reported Q3 EPS of $0.19, $0.01 better than the analyst estimate of $0.18. Revenue for the quarter came in at $108.8 million versus the consensus estimate of $116.83 million. Reaffirms FY11 outlook.

Intersil (Nasdaq: ISIL) 6.9% HIGHER; trading higher amid TI, National Semi deal.

Kayne Anderson MLP Investment Co. (NYSE: KYN) 5.3% LOWER; to offer 5.7 million shares in a secondary offering.

Maxim Integrated (Nasdaq: MXIM) 5% LOWER; trading higher amid TI, National Semi deal.

Teekay LNG Partners L.P. (NYSE: TGP) 4.3% LOWER; announced today that it plans to offer 3,700,000 common units representing limited partner interests in a public offering. Teekay LNG expects to grant the underwriters a 30-day option to purchase an additional 555,000 common units to cover over-allotments, if any.

Express, Inc. (NYSE: EXPR) 4.2% LOWER; reports a selling stockholder intends to sell 16.5 million common shares. The selling stockholders intend to grant the underwriters an option to purchase up to an additional 2,475,000 shares of Express' common stock.

Analog Devices (NYSE: ADI) 3.8% HIGHER; trading higher amid TI, National Semi deal.

Linear Tech (Nasdaq: LLTC) 3.7% HIGHER; trading higher amid TI, National Semi deal.

Duoyuan Global Water (NYSE: DGW) 3.6% LOWER; announces that its CFO Stephen Park has announced his intention to leave the company in order to pursue another interest.

A. Schulman, Inc. (NASDAQ: SHLM) 3.2% HIGHER; reported Q2 adjusted EPS of $0.39, $0.06 better than the analyst estimate of $0.33. Revenue for the quarter came in at $508.3 million versus the consensus estimate of $423.6 million. Affirms outlook. Appoints Donald B. "Mickey" McMillan as Chief Accounting Officer.

Semiconductor HOLDRs (NYSE: SMH) 3.1% HIGHER; moving up as Texas and Texas Instruments Inc. and National Semiconductor Corporation in a deal.

IntraLinks Holdings, Inc. (NYSE: IL) 3.1% LOWER; announces a 9 million common offering. Of the total, IntraLinks intends to offer 1,500,000 shares of common stock and certain selling stockholders intend to offer 7,500,000 shares of common stock for sale. In addition, the selling stockholders intend to grant the underwriters the right to purchase up to 1,350,000 additional shares, solely to cover over-allotments, if any.

Cadence Pharmaceuticals, Inc. (Nasdaq: CADX) 3.1% LOWER; filed a registration with the U.S. Securities and Exchange Commission today to sell, from time to time, up to $150 million of Debt Securities, Preferred Stock, Common Stock, Debt Warrants, Equity Warrants, or any combination thereof.

Prospect Capital Corporation (Nasdaq: PSEC) 2.9% LOWER; has priced a 9 million common stock offering. Prospect has granted the underwriter a 30-day option to purchase up to an additional 1,350,000 shares of common stock.

JA Solar Holdings Co., Ltd. (Nasdaq: JASO) 2.4% HIGHER; has entered into a two-year strategic partnership with Jabil Circuit, Inc. (NYSE: JBL), a global electronic product solutions company headquartered in St. Petersburg, Florida.

Texas Instruments (NYSE: TXN) 1.9% LOWER; to buy National Semi for $25/share in cash.

New Energy Systems Group (AMEX: NEWN) 1.5% LOWER; filed a registration with the U.S. Securities and Exchange Commission today to sell, from time to time, up to $20 million of Common Stock, Preferred Stock, Warrants, Units, or any combination thereof.

Boeing (NYSE: BA) 0.9% LOWER; Bloomberg reporting that the Federal Aviation Administration will require Boeing 737 operators to inspect planes. The Administration has said the inspections will affect 175 737's worldwide. The FAA will issue an emergency directive tomorrow.

CombiMatrix (Nasdaq: CBMX) INDICATED LOWER; will raise $6.76 million in a private placement of common stock.
