Addex amends at-the-market offering agreement with H.C. Wainwright

Addex Therapeutics (NASDAQ: ADXN) amended its at-the-market offering agreement with H.C. Wainwright & Co., the company announced. The agreement, originally entered into on January 30, 2024, allows Addex to sell American Depositary Shares worth up to $3.3 million through H.C. Wainwright as its sales agent.

Under the amended agreement, H.C. Wainwright may sell the ADSs through The Nasdaq Capital Market or other existing trading markets for the securities. The sales will be conducted as an "at-the-market offering" as defined under Securities Act Rule 415(a)(4), with H.C. Wainwright using commercially reasonable efforts to sell shares based on Addex's instructions.

Addex will pay H.C. Wainwright a sales commission of 3% of gross sales proceeds for any ADSs sold under the agreement. The company has also provided the sales agent with customary indemnification and contribution rights.

The company is not obligated to make any sales under the agreement. Both Addex and H.C. Wainwright may suspend or terminate the offering upon notice to the other party, subject to specified conditions.

Sales under the agreement will be made pursuant to Addex's effective registration statement on Form F-3, Registration Statement No. 333-291644. No securities sales are being made under the agreement in Switzerland.
