1. Includes an additional 450.316 shares acquired by the reporting person as a result of the reinvestment of dividends pursuant to the Company's Dividend Reinvestment Plan. These transactions are exempt from Section 16(a) of the Securities and Exchange Act pursuant to Rule 16a-3(f)(1)(i)(B).
2. Disposed of pursuant to the agreement and plan of merger, dated as of April 28, 2016 by and among the issuer, Parkway Properties LP, Cousins Properties Incorporated ("Cousins") and Clinic Sub Inc., a wholly owned subsidiary of Cousins, in exchange for shares of Cousins common stock and cash in lieu of fractional shares.
