DE Int'l Holdings Files $4.6B Shelf Tied to Sara Lee (SLE) Coffee & Tea Spin-Off

DE International Holdings N.V. filed a registration with the U.S. Securities and Exchange Commission in connection with the distribution by Sara Lee Corporation (NYSE: SLE), pro rata to its shareholders, all of the shares of common stock of Sara Lee/DE US, Inc., owned by Sara Lee, which will be 100% of CoffeeCo’s shares of common stock outstanding immediately prior to such distribution; the subsequent merger of CoffeeCo with a wholly owned subsidiary of DE International Holdings N.V., with CoffeeCo surviving the merger as a subsidiary of DutchCo; and the exchange of DutchCo ordinary shares for the previously distributed shares of CoffeeCo common stock.

The proposed maximum offering price is about $4.55 billion. Ordinary shares will have a nominal value of €0.12 each.
