FBR Capital maintains a 'Market Perform' on Nasdaq OMX Group Inc. (NASDAQ: NDAQ).
FBR analyst says, "NDAQ and ICE (NYSE: ICE) have put together the much anticipated hostile bid to acquire NYSE Euronext at $42.50 per share. The deal, if completed, will be financed through a combination of cash and stock. NDAQ believes the acquisition will begin showing double digit accretion within 12-18 months. The deal terms are $14.24 in cash, plus 0.4069 shares of NDAQ and 0.1436 shares of ICE for each share of NYSE. The deal is at a 19% premium to the Deutsche Boerse proposal. NDAQ and ICE will remain separate entities following an acquisition of NYSE with NDAQ taking NYSE’s U.S. and European cash trading and listing business with ICE assuming much of NYSE’s futures businesses."
